The version of these Terms & Conditions is effective from May 2024. 

These general Terms & Conditions of use apply without restriction or reservation to all services offered by Officionados on the https://www.officionados.space/ website (hereinafter the "Site").

By using this website, you confirm acceptance of these Terms & Conditions in full and agree to comply with and be bound by them.

The Site presents the user (hereinafter the "User") with support services for the search for office space in Europe and beyond (hereinafter the "Services").

Words in the singular number include the plural, and vice versa.

The purpose of these general Terms & Conditions is to define the terms and conditions of using the Services, as well as to establish the rights and obligations of the parties involved.

These Terms & Conditions can be accessed and printed at any time via a direct link at the bottom of the Site.

They take precedence over any other general or special terms and conditions not expressly approved by Officionados. If necessary, a dedicated contract regularized with the User may supplement these general terms and conditions, and in case of contradiction, it prevails.

If you do not accept these Terms & Conditions, kindly exit this website immediately.‍

‍The Site and the Services are operated by Officionados, a limited society company (SL) with a share capital of €5,000 registered with the Registro Mercantil with CIF B55473102, whose registered office is located at Lepant 270, 08013 Barcelona (hereinafter "Officionados").

3.1 Capacity

The Site and Services are accessible:

  • To any natural person with full legal capacity to agree to these terms and conditions. A natural person lacking full legal capacity may only access the Site and Services with the consent of their legal representative.
  • Any legal person can access the Site, acting through a natural person with the requisite power or authority to contract on behalf of the legal entity.

This website is offered to users aged 18 or older. No one under this age may access or use this website or provide any personal information through it, unless specified otherwise in writing. By accessing and/or using this website, you affirm that you are 18 years of age or older. If not, and you lack our written consent, you must refrain from accessing or using this website.

You are responsible for ensuring that anyone else accessing this website through your internet connection is aware of these Terms & Conditions and complies with them at all times.

3.2 Services reserved for professionals

The Services are intended exclusively for professionals, understood as any use directly or indirectly related to a remunerated activity carried out on a non-occasional basis in all sectors of activity of industry and commerce and are not intended for personal use.

The User has access to the Services on the Site in a form and according to the functionalities and technical means that Officionados deems most appropriate.

This website allows Users to search for and inquire about office space. Users acknowledge and agree that:

  • We act as a broker of "flexible workspace solutions."
  • We may receive a brokerage fee from the operator in respect of the flexible workspace solutions we broker, which is a pre-agreed percentage of the rental period.
  • We may employ internal teams and collaborate with commercial broker partners to provide necessary support. Users may be contacted by our employees and/or the employees of our commercial partners to assist in finding workspace solutions.

In accordance with our Personal Data Protection Policy, we may share your enquiry details, including contact information, with workspace providers and commercial broker partners to offer office search support services. Workspace providers and commercial broker partners may contact you to follow up on your enquiry.

Officionados reserves the right to offer any other service it deems useful, in a form and according to the functionalities and technical means that it deems most appropriate to provide such services.

‍The Services are subscribed for an indefinite period, according to the terms defined in the contract between Officionados and the User.

The User expressly acknowledges and accepts:

  • Data collected on the Site and stored on Officionados' computer equipment serve as conclusive evidence of the operations conducted within the framework of these Terms & Conditions.
  • This information holds the primary status as evidence acknowledged between the parties.

‍Without prejudice to other obligations outlined herein, the User commits to adhere to the following obligations:

  • In their use of the Services, the User agrees to comply with the laws and regulations in force, ensuring not to infringe upon the rights of third parties or public order.
  • The User acknowledges having read the characteristics and constraints, especially technical ones, of all the Services on the Site. They are solely responsible for the proper use of the Services.
  • The User commits to providing Officionados with all necessary information and actively cooperating to ensure the proper execution of these Terms and Conditions.
  • Strictly personal use of the Services is required from the User. Hence, any assignment, concession, or delegation of their rights or obligations, in whole or in part, to a third party, in any manner, is strictly prohibited.
  • The User is informed and accepts that utilizing the Services requires an internet connection. They are solely responsible for maintaining this connection, and the quality of the Services directly depends on it.‍

8.1

It is strictly forbidden:

  • Engaging in any behavior likely to interrupt, suspend, slow down, or prevent the continuity of our Services.
  • Any intrusion or attempted intrusion into Officionados's systems.
  • Misappropriation of the Site's system resources.
  • Actions likely to impose a disproportionate load on the infrastructure.
  • Any act likely to infringe the financial, commercial, or moral rights and interests of Officionados.
  • Breach of these terms and conditions.

It is strictly forbidden to use the Services for the following purposes:

  • Carrying out illegal or fraudulent activities or any actions that infringe the rights or safety of third parties.
  • Breach of public order or violation of the laws and regulations in force.
  • Intrusion into a third party's computer system or any activity likely to harm, control, interfere with, or intercept all or part of a third party's computer system, violate its integrity or security.
  • Manipulations intended to improve the referencing of a third-party site.
  • Aiding or abetting in any form and in any manner whatsoever one or more of the acts and activities described above.
  • More generally, engaging in any practice that misuses the Services for purposes other than those for which they were designed.

8.2

The User is strictly prohibited from copying and/or misappropriating the concept, technologies, all or part of the data or any other element of the Officionados Site for their own purposes or those of third parties.

8.3

It is strictly forbidden to monetize, sell or grant all or part of the access to the Services or the Site, as well as to the information hosted and/or shared therein.

‍The User indemnifies Officionados against any complaints, claims, actions and/or claims whatsoever that Officionados may suffer as a result of the User's breach of any of its obligations or guarantees under these terms and conditions.

They undertake to indemnify Officionados for any damage it may suffer and to pay all costs, charges and/or convictions that it may have to bear as a result.

In the event of a violation of any provision within these general Terms & Conditions or, more broadly, a breach of the prevailing laws and regulations by a User, Officionados reserves the right to undertake appropriate actions, including but not limited to:

  • Publishing on the Site any information message deemed useful by Officionados,
  • Notifying competent authorities, cooperating with them, and providing all relevant information necessary for the investigation and suppression of illegal or unlawful activities,
  • Initiating any necessary legal actions.

11.1 Guides and Advice

Guides and advice provided on the Site are for informational purposes only. Officionados cannot be held liable for any reason related to the use of this information.

11.2 References and Case Studies

The User acknowledges and accepts that references or "case studies" presented on the Site are provided for informational purposes only and do not bind Officionados in any way. Users are responsible for contacting Officionados for a personalized analysis of their office search requirements.

11.3 Access to the Site

Officionados is committed to providing diligent access to the Site in accordance with industry standards. It is emphasized that this commitment is subject to an obligation of means, excluding any obligation of result. The User expressly acknowledges and accepts this condition.

11.4 Website Functionality and Accessibility

Officionados is committed to conducting regular checks to ensure the proper functioning and accessibility of the Site. While efforts are made to maintain continuous access, uninterrupted availability cannot be guaranteed. The right to temporarily suspend access for maintenance, as well as the right to suspend, restrict, or withdraw access to any part or all of the website, is retained without prior notice. The decision to close any portion or the entire website may occur temporarily or indefinitely, with or without notice.

11.5 Limitation of Liability

Officionados expressly excludes liability for any direct, indirect, special, consequential, punitive, or exemplary loss or damage arising from its failure to perform or defect, delay in performance of obligations, the User's use of this website, reliance upon or accuracy of any content or materials on this website, and the results of the User's use of this website, any linked websites, or posted content. The liability incurred by Officionados is expressly limited to proven direct damage suffered by the User. Officionados cannot be held liable for temporary difficulties or impossibilities in accessing the Site caused by circumstances beyond its control, force majeure, or disruptions in telecommunications networks.

11.6 Website Security

While security measures are implemented, Officionados cannot guarantee permanent freedom from bugs, viruses, malware, adware, trojan horses, or other technologically harmful material. Users are responsible for ensuring that their devices have appropriate antivirus and firewall protection, and their information technology, computer programs, and platforms are configured appropriately before accessing and using the website. The Users are responsible for ensuring that:

  • Any device from which they access and use this website has appropriate active anti-virus and firewall software protection in place; and
  • Their information technology, computer programmes and platforms are appropriately configured before accessing and using this website.

‍12.1 Intellectual Property Rights

The systems, software, structures, infrastructures, databases, and all content (including but not limited to texts, images, visuals, music, logos, trademarks, testimonials, customer references, etc.) operated by Officionados within the Site are protected by all intellectual property rights or database producers' rights currently in force.

12.2 Usage Restrictions

You are expressly prohibited from modifying any paper or digital copies of materials obtained through printing or downloading. Additionally, you must not use illustrations, photographs, video or audio sequences, or any graphics separately from their accompanying text. In the event of reproducing downloaded or printed content in any medium, you are obligated to ensure accurate and complete reproduction. You must include a statement acknowledging the source from this website, and failure to do so may result in legal proceedings.

12.3 Internal Business Use

This website, along with its content and materials, is exclusively intended for your internal business purposes. You are strictly prohibited from using this website or its content to compete directly or indirectly with our business in any manner. This includes offering the same or similar services that we provide to any third party. Prior written consent from Office Officionados is mandatory before engaging in any activities that may be perceived as direct or indirect competition.

‍Officionados reserves the right to insert on any page of the Site and in any communication to the User any advertising or promotional messages in a form and under conditions of which Officionados shall be the sole judge.

Neither party shall be held liable for failures or delays in the execution of these general terms and conditions under any circumstances arising from force majeure, as defined by Article 1105 of the Spanish Civil Code. This includes, but is not limited to, events such as strikes, terrorist activities, riots, insurrections, wars, government actions, epidemics, natural disasters, or defects attributable to a third-party telecommunications provider.

The occurrence of a force majeure event shall suspend the execution of the general conditions upon the receipt by one of the parties of the information transmitted by registered letter with acknowledgment of receipt by the other party.

Should a force majeure event impede the performance of obligations by a party for a period exceeding 30 (thirty) days, the general terms and conditions may be terminated immediately and by operation of law. This termination can be initiated by either party, using any written means, without the necessity for legal formalities. Neither party shall be obliged to pay compensation to the other party in such circumstances. ‍

‍In the event of a translation of these general terms and conditions into one or more languages, the language of interpretation will be English in the event of contradiction or dispute over the meaning of a term or provision.

‍Officionados reserves the right to modify these terms and conditions at any time.

Users are advised to stay informed of any changes we make, as any user who continues to use the Services after the effective date of modified terms and conditions is deemed to have accepted these modifications.‍
